SEYCHELLES COMPANY FORMATION REQUIREMENTS

Every Seychelles Company must have a Memorandum and Articles of Association registered and established under the International Business Companies Act, 1994.

1) Share Capital: The standard authorized share capital of a Seychelles company is USD 100.000 with the minimum issued capital to be $1.00. Bearer shares are not permitted. It is essential to appoint at least one shareholder, either a physical person or a legal entity. The meetings of the shareholders can be held anywhere in the world and can be conducted by phone.

2) Directors: A minimum of one Director must be appointed, either a physical person or a legal entity. The meetings of the directors can be held anywhere in the world and can be conducted via telephone or any other electronic means.

3) Secretary: It is not essential to appoint a secretary.

4) Registered Agent: The registered agent of the company should be in Seychelles and must be written in the Memorandum and Articles of Association.

5) Registered Address: It is a requirement of the Law that a company must have a registered office in Seychelles, which may be used as the business address of the company. The registered office address is the place where official documents can be served to the company. This can also be provided by our office.
